Terms and Conditions of Service
1. Introduction and Acceptance These terms and conditions constitute a legally binding agreement between Helene Viljoen Incorporated t/a Clicklaw ("the Firm") and the client ("the Client"). By accepting a quote (pro forma invoice) and making payment into the Firm’s trust account, the Client explicitly agrees that they have read, understood, and accepted these terms and conditions in their entirety.
2. Scope of Services and Authorization The Firm provides legal and administrative services, including but not limited to:
Contract drafting
Trademark registration filings
Company registration filings
The Client explicitly authorizes the Firm, its directors, and its employees to act on their behalf, sign necessary documentation where mandated, and take all necessary steps to execute the agreed-upon services.
3. Client Obligations and Indemnity
Accuracy of Information: The Client undertakes to provide full, accurate, and up-to-date information required for the execution of the services.
Reliance on Information: The Firm may rely entirely on the information and instructions provided by the Client without any obligation to conduct independent verification.
Indemnity: The Client indemnifies and holds the Firm harmless against any claims, losses, penalties, or damages arising from the Client providing false, inaccurate, or incomplete information.
4. Fees and Payment
The Client agrees to the charges and professional fees as set out in the Firm's intake forms, accepted quotes (pro forma invoices), and these Terms and Conditions.
Unless otherwise specified, all fees are inclusive of Value-Added Tax (VAT).
5. Privacy and Data Protection The Firm respects the Client’s privacy and is strictly committed to protecting personal information. All data collected, processed, and stored during the course of the mandate will be handled in full compliance with the Protection of Personal Information Act (POPIA) and, where applicable, the General Data Protection Regulation (GDPR).
6. Governing Law and Jurisdiction
Governing Law: This agreement, and all services rendered by the Firm, shall be governed by and construed in accordance with the laws of the Republic of South Africa.
Jurisdiction: The Client consents to the jurisdiction of the Nelspruit Magistrate's Court for the resolution of any legal proceedings or disputes arising from this agreement, regardless of the quantum of the claim.
7. General Provisions
Amendments: The Firm reserves the right to update or amend these Terms and Conditions from time to time.
Severability: If any clause, term, or provision of this agreement is found by a competent court to be invalid, illegal, or unenforceable, the remaining provisions shall remain fully effective and binding.
